QWine Expo, short for Qingtian International Wine Expo, is the international wine fair in China organized by the Municipality of Qingtian in collaboration with Wine Channel.

Now in its sixth edition, QWine Expo has proven to be an important event for entering the Chinese market.

This year, the participation of international wineries is also funded by the Municipality of Qingtian, with numerous services included in the registration fee.

    CONTRACTUAL TERMS
    GENERAL TERMS AND CONDITIONS OF THE CONTRACT*

    1. OBJECT
    The purpose of these exhibition terms and conditions is to regulate the use of services provided by WINE CHANNEL s.r.l., headquartered at Via Tiburtina 318, 65128 Pescara, VAT number 02233520689, to exhibitors at trade events organized by Winechannel s.r.l. or by third parties in relation to which Wine Channel s.r.l. manages services related to the event, exhibition spaces, and/or administrative and organizational secretarial services.

    2. CONTRACT EXECUTION
    2.1. DEFINITIONS
    Within these General Conditions, "exhibitor" means any natural or legal person in whose name a binding registration to participate in the event indicated on the registration form has been made. Within this agreement, "co-exhibitor" means any natural or legal person, as well as any person authorized by the exhibitor who, in any form, appears at the trade fair stand, particularly (but not exclusively) through signs, brochures, images, printed communication sources, and/or physical presence at the stand.

    2.2. REGISTRATION
    Registration is carried out in writing by signing, presenting, and sending the specific Registration Form, considered an integral part of these general conditions, prepared by Wine Channel s.r.l., by the exhibitor or by a person authorized by them. Registration is binding. Withdrawal can only occur under the conditions established by this agreement; furthermore, the exhibitor is not authorized to make reservations or conditions. If, in addition to the exhibitor, there are also co-exhibitors as per this agreement, the exhibitor must inform Wine Channel s.r.l. at the time of registration, providing personal data, residence/office, and contact information.

    2.3. CONTRACT CONCLUSION
    The contract is considered legally valid and effective upon the confirmation of registration by Wine Channel s.r.l. following the duly signed Registration Form sent by the exhibitor. Upon sending the mentioned form and acceptance of the registration by Wine Channel s.r.l., the exhibitor is required to pay the price established for participation in the event as per the Registration Form and Offer attached to these general conditions.

    2.4. GOODS ON DISPLAY
    Given that the trade event is dedicated to the exhibition and promotion of wine, the exhibitor is required to precisely indicate which wines they intend to exhibit. Specifically, they must accurately indicate the type, quantity, and handling methods of the goods on display. Undeclared or unauthorized goods cannot be displayed, and Wine Channel s.r.l. reserves the right to remove such products from the stand and exclude them from the exhibition. In more severe cases (counterfeit goods, goods not related to the trade event), Wine Channel s.r.l. reserves the right to expel the exhibitor from the exhibition area, with costs and expenses entirely borne by the exhibitor.

    3. WITHDRAWAL
    3.1. ADMISSION TO PARTICIPATION AND RIGHT OF WITHDRAWAL
    The decision regarding admission to participate in the trade event is solely up to Wine Channel s.r.l., which is not obliged to justify the decision in case of non-admission. Wine Channel s.r.l. reserves the right to revoke, at any time, the initially granted authorization to participate if it turns out that the registration was based on false and/or misleading information. In such a case, the exhibitor must indemnify Wine Channel s.r.l. for the incurred expenses.

    3.2 EXHIBITOR'S RIGHT OF WITHDRAWAL
    After the conclusion of the contract, that is, with the finalization of the registration and the payment of the corresponding fee, the exhibitor can withdraw from it. In such a case, they will not be entitled to any type of refund, for any reason.

    4. LIST OF EXHIBITORS, PUBLICATIONS
    The exhibitor is aware that the trade event management usually prepares a list of exhibitors for each event, publishing the data on information sites, both printed and online. In specific cases, other publications may also be prepared where the exhibitor, their services, and products are indicated. By signing the registration form, the exhibitor agrees that the data they provided at the time of registration will be used for this purpose. The event management holds the exclusive right to publish the trade fair catalog and any other communication and information source, regardless of the communication medium chosen. The exhibitor, for this purpose, must provide truthful information, doing so under their own responsibility. The event management assumes no responsibility for the correctness of publications or for any errors or omissions in them.

    5. PROTECTION OF THIRD-PARTY RIGHTS
    Exhibitors must respect the material and immaterial goods of third parties and act in good faith. Products, services, and intellectual property rights belonging to third parties cannot be presented, offered, or advertised in such a way as to violate the rights of third parties. Any non-compliance in this regard may result in exclusion from the event.

    6. EVENT CANCELLATION – FORCE MAJEURE – ACCIDENTAL EVENTS
    The exhibitor is informed, through these general conditions, that the Organizer of the trade event in question reserves the right to cancel the event if particular situations and/or conditions arise that the event management deems as impediments to the normal conduct of the trade event (e.g., specific political and economic events, epidemic or pandemic phenomena, administrative orders from public entities, revocations of authorizations, cases of force majeure and accidental events). In such cases, Wine Channel s.r.l. cannot be held responsible as these events cannot be attributed and/or ascribed to it in any way.

    7. PAYMENT CONDITIONS
    7.1. PRICES
    The participation fee for the individual winery with the related included services is indicated in the registration form attached to this document.

    7.2. PAYMENT TERMS AND METHODS
    The participation fee must be paid by the exhibitor via bank transfer. According to the methods expressed in the Registration Form, to the following bank details:

    8. STAND ALLOCATION/SETUP/DESIGN/PRESENCE
    8.1. PAVILION AND STAND ALLOCATION
    The exhibitor will be granted a physical space within the pavilion of the trade complex prepared for the event, where the exhibition stand will be set up and the installation material will be placed, all suitable for the exhibition purposes.

    8.2. EXHIBITION STAND DESIGN
    The design of the stands is the exclusive responsibility of the event organizer and thus is accepted by the exhibitor without any possibility of modification or contestation. Wine Channel s.r.l. cannot be held responsible for the design and allocation of the stand.

    8.3. STAND OPENING HOURS
    During the official opening hours of the trade event, exhibitors are required to display their merchandise and ensure continuous opening and constant presence at the stands.

    8.4. STAND DISMANTLING
    The space allocated to the stand must be vacated by the exhibitor at the end of the trade event in the same initial condition as upon entry. In case of damage to the stand, modifications, or abandonment of waste within the stand, the exhibitor is solely responsible, and therefore, Wine Channel s.r.l. cannot be held responsible for the merchandise on display not promptly removed from the stand and for other cases of damage and/or modification that will be exclusively attributed to the exhibitor. The remaining wine samples cannot be sold or removed from the fair.

    9. LIABILITY, INSURANCE
    The event management and Wine Channel s.r.l. are not responsible for any losses and/or damages to the stands and the goods on display. Each exhibitor has the option to take out insurance for fire, flooding, transport damage, damage, and theft of the goods on display. The event management and Wine Channel s.r.l. will not be liable for any events as described in the previous paragraph.

    10. APPLICABLE LAW
    The relationship established between the parties through these contractual conditions is exclusively subject to Italian law.

    11. EXCLUSIVE JURISDICTION
    The exclusive jurisdiction for the interpretation of this contract, its validity and effectiveness, the issues related to the execution of the obligations provided herein, and its termination is the court of Pescara.
